TERMS AND CONDITIONS FOR ONLINE SALE AND PURCHASE OF GOODS

This page sets out the terms and conditions ("Terms and Conditions") governing all sales and purchases of goods through the online shop operated by BIORTHO CO LTD at your official website ("Website"). Your use of the Website and placement of orders constitutes your acceptance of these Terms and Conditions. All references to "we", "us", or "our" shall mean BIORTHO CO LTD, a company incorporated under the laws of the Hong Kong Special Administrative Region. “Goods” shall mean veterinary orthopedic implants, surgical instruments and related accessories supplied by BIORTHO CO LTD.

1. SALES AND PURCHASES

1.1 Subject to these Terms and Conditions, we agree to sell and you agree to purchase the Goods in accordance with the order you place through the Website ("Order").

1.2 Our Goods are intended for professional veterinary use. By placing an Order, you warrant that you possess the appropriate qualification or authorization to purchase and use such veterinary medical-related products in your jurisdiction. You are solely responsible for complying with all local import regulations, licensing requirements and regulatory obligations applicable to the import and possession of the Goods within your country or territory.

1.3 The Website is not intended for use by children. If you are under eighteen years of age, you must obtain consent from a parent or legal guardian before providing personal information or making purchases on the Website.

2. PLACING ORDERS

2.1 You may place an Order by completing the electronic order form ("Order Form") on the Website. Once an order number is assigned following your submission of the Order Form, your Order submission is received by our system. Subject to applicable law, orders may not be cancelled or modified without our written consent.

2.2 Information displayed on the Website constitutes an invitation to treat only, and shall not be construed as a binding offer to sell Goods.

2.3 Your Order constitutes an offer to purchase the Goods. We reserve sole discretion to accept or decline any Order without providing a reason. We do not guarantee the immediate availability of Goods shown on the Website.

(a) Upon receiving your Order, we will send an order confirmation email ("Confirmation"). This does not signify acceptance of your Order or constitute an offer to sell; it only confirms receipt of your order submission.

(b) We formally accept your Order once we have verified your order information and confirmed stock availability, typically within 72 working hours for instock items. We may refuse, cancel, or limit any Order and may require additional supporting information before processing. After receiving the Confirmation, you may contact us to track your order status.

(c) When your Order is confirmed for processing and shipment, a legally binding contract ("Contract") is formed for the sale of Goods, superseding all prior correspondence and oral or written agreements.

2.4 You are responsible for ensuring the accuracy of all information provided with your Order, including delivery address, contact details, import-related documentation requirements. We are not liable for delays or shipment failures resulting from incomplete or inaccurate information you provide.

3. PAYMENT TERMS

3.1 All prices on the Website are quoted in US dollars. We reserve the right to change prices at any time and to correct pricing errors. In case of a pricing error, we will notify you and allow you to proceed at the correct price or cancel your order at no additional cost.

3.2 We may adjust prices to reflect changes in costs due to circumstances beyond our reasonable control, such as foreign exchange fluctuations, statutory taxes, duties, labor, raw-material costs, delivery schedules, or delays caused by your instructions.

3.3 Unless otherwise agreed in writing, payment shall be made in United States Dollars via Visa, MasterCard or other payment methods processed through our authorized payment service provider Airwallex.

3.4 Payment for Goods will be authorized against your selected payment method upon issuance of the Confirmation; full settlement shall be completed prior to goods dispatch unless separate credit-term arrangements have been agreed in writing between both parties.

3.5 Your card payment will be processed by our authorized service provider ("Payment Processor"). All payment details are transmitted under industry-standard encryption protocols. We do not store your full credit-card details on our website servers.

3.6 We are not liable for any loss or damage arising from:

(a) Your failure to safeguard personal data during online payment;

(b) Inaccurate information you provided during the payment process; or

(c) Technical issues attributable to the thirdparty chosen payment method or payment processor.

4. PROMO CODES

4.1 Promo codes must be entered before completing your Order and may be used only once. They cannot be retro-applied to previously submitted Orders. Percentage-based promo codes may not be combined with other discount offers unless explicitly stated.

4.2 Promo codes are non-transferable and cannot be redeemed for cash or account credit.

4.3 Certain Goods are excluded from promo-code offers. Please check the specific terms published for each promo code. We reserve the right to cancel Orders where promo codes are applied to excluded or ineligible Goods.

5. PASSING OF RISKS AND TITLE

5.1 Risk of loss, theft or damage to Goods passes to you upon completion of hand-over to the contracted international carrier for shipment to your designated delivery address. We are not responsible for damage caused by events beyond our reasonable control such as fire, flood, carrier mishandling, customs detention or import restrictions in the destination country.

5.2 Legal title and ownership to the Goods does not pass to you until the full order amount has been fully cleared and received by BIORTHO CO LTD.

6. GENERAL PROVISIONS

6.1 All return, refund and exchange matters shall be governed separately by our standalone Return & Refund Policy published on our Website. In case of any inconsistency between these Terms and Conditions and the Return & Refund Policy, the Return & Refund Policy shall prevail for return, refund and exchange related matters.

6.2 These Terms and Conditions shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with these sales terms shall be subject to the non-exclusive jurisdiction of the courts of Hong Kong.
